On 5/19/26, the SEC released proposed rules that would eliminate certain requirements and introduce additional accommodations intended to make it easier for companies to access registered offerings to raise capital. If adopted, the changes would broaden access to shelf registration for follow-on offerings, simplify filer status, extend many disclosure and financial reporting accommodations to more public companies.

The proposed changes were introduced in two companion releases: the Registered Offering Reform and the Filer Status Proposal.
